The following Terms of Use (“Terms”) govern your use of this website, www.anacorp.com, (the “Services”). References to “we,” “our,” “us” or “ANA” herein refer to Alliance North America, our affiliates, and service providers.

Your use of the Services constitutes your agreement to these Terms. In some instances, both these Terms and separate terms may apply to a service or product offered via the Services (“Additional Terms”). To the extent there is a conflict between these Terms and any Additional Terms, the Additional Terms will control unless the Additional Terms expressly state otherwise.

PLEASE READ THIS TERMS CAREFULLY BEFORE ACCESSING OR USING THE SERVICES. THIS TERMS INCLUDES A WAIVER OF YOUR RIGHT TO PARTICIPATE IN A CLASS OR COLLECTIVE ACTION LAWSUIT (SEE SECTION 9).

If you are entering into these Terms on behalf of a company, business or other legal entity, you represent that you have the authority to bind such entity to these Terms, in which case the term “you” shall refer to such entity. If you do not have such authority, or if you do not agree with these Terms you must not use these Services.

Modification of These Terms of Use

ANA reserves the right to change these Terms at any time, without prior notice to you. If we change these Terms, we will post the modified Terms on this page and change the Effective Date. Please check these Terms each time you use these Services. These changes will take effect immediately upon posting. By continuing to use our Services following such changes, you will be deemed to have agreed to such changes. If you do not agree to the changes in our Terms, please discontinue use of our Services.

Content

The Services may contain materials and other items relating to ANA and the Services, including data, files, images, scripts, designs, graphics, instructions, illustrations, photographs, sounds, pictures, videos, advertising copy, layout, databases, articles, posts, text, URLs, software, technology, interactive features, and the “look and feel” of the Services (collectively, “Content”). All rights, title, and interest in and to the Services and the Content are the property of ANA, our licensors, or certain other third parties, and is protected by U.S. and international copyright, trademark, trade dress, patent, and/or other intellectual property and unfair competition rights and laws, to the fullest extent possible.

ANA’s Proprietary Rights, Limited Licenses, Trademarks and Trade Secrets

Unless otherwise noted, the design of the Services, the Services as a whole, all the Content, and the logos, service marks, trademarks, trade names, trade dress, and trade identities of various parties, including those of ANA are copyrights, trademarks, trade dress or other intellectual properties owned, controlled, or licensed by ANA (our licensors, subsidiaries, or affiliates) (“ANA Marks”). Without ANA’s prior permission, you agree not to display or use the ANA Marks in any manner. ANA reserves all patent, copyright, trade secret, trade name, trademark, service mark, license and other proprietary rights related to the website, its software and Services and you shall not infringe upon or violate such rights.

Subject to your strict compliance with these Terms, ANA grants you a limited, non-exclusive, revocable, non-commercial, non-assignable, personal, and non-transferable license to download, display, view, or use the Content on a personal device, and retain one copy of the Content as it is displayed to you for your personal, non-commercial use only. The foregoing limited license does not give you any ownership of, or any other intellectual property interest in, any Content. Your unauthorized use of the Content may violate copyright, trademark, privacy, publicity, communications, and other laws, and any such use may result in your personal liability, including potential criminal liability.

No Unlawful or Prohibited Use

You agree to comply with all national, federal, state, and local laws, statutes, ordinances, regulations, directives, and agreements that apply to your use of the Site and Content. You will not use the Services for any purpose that:

Is unlawful or prohibited by this Terms.

Could damage, disable, overburden, or impair the Services or interfere with any other party’s use and enjoyment of the Services.

Modifies, translates, decompiles, reverse engineers, recreates, disassembles, or otherwise attempts to determine the makeup or source code of the Services or make any unauthorized changes to or copies of the Services.

Circumvents, disables, removes, avoids, bypasses, deactivates, impairs or otherwise interferes with any (i) security-related features of the Service or (ii) features that prevent, restrict, or limit use or copying of any Content posted on the Services.

Involves a web crawler, robot, spider, or other automated method to retrieve, data mine, scrape or otherwise gather information or Content available through the Service.

Uploads, posts, emails, or otherwise transmits any material that contains trojan horses, worms, malicious software, viruses, or any other computer code, files, or programs of a destructive nature or designed to interrupt, destroy, or limit the functionality of any computer software, hardware, or telecommunications equipment.

Frames the Services or accesses or uses the Services through an interface other than the one we provide to you.

Displays the Service in a manner that could falsely suggest a relationship between us and any third party.

Deletes any author attributions, legal, or other notices or proprietary designations or labels (such as copyright, trademark, and other proprietary rights notices) contained in or on the Service.

Defames, abuses, harasses, stalks, threatens or otherwise violates the legal rights (such as rights of privacy and publicity) of others.

Harvests or otherwise collects information about others, including email addresses, without their consent.

Reliance on Services Content and Content Accuracy

The Services are intended to be for informational purposes only. Although ANA attempts to provide you with current and accurate information, there may be occasions when information on the Services contains typographical errors, inaccuracies, or omissions that may relate to product descriptions, availability, and other matters. ANA reserves the right to correct any errors and to update information at any time, including pricing, availability, and other information made available on the Services.

ANA assumes no responsibility regarding the accuracy, currency, or usefulness of the Content provided by or presented on the Services. Any reliance you place on such information is strictly at your own risk. ANA disclaims all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to the Services, or by anyone who may be informed of any of its Content.

The Services may include content provided by third parties. All statements and/or opinions expressed in these materials, and all articles and responses to questions, other than the Content provided by ANA, are solely the opinions and the responsibility of the person or entity providing those materials.

ANA also provides technical documentation, product information, and support materials through its Knowledge Base, delivered via HubSpot, as part of the Services. These materials are offered for general informational purposes and may not always reflect the most current product specifications, engineering changes, or service procedures. Content may become outdated over time, and ANA does not guarantee its completeness or accuracy. Users should contact the ANA Service Team to obtain the latest technical information, guidance, or support before relying on any Knowledge Base resources.

Account Creation

Certain features and functionality of ANA’s online services (“Services”) may require the creation of an account by entering your name and email address, selecting a valid username and password, and providing other required registration information. By creating an account, you agree to provide accurate, current, and complete information and to update it as necessary to maintain its accuracy.

You are solely responsible for the security and confidentiality of your login credentials and for all activity that occurs under your account. ANA is not responsible for any unauthorized use of your account arising from your failure to maintain the confidentiality of your access credentials. You agree to immediately notify ANA of any unauthorized use of your account or any breach of security.

ANA provides two distinct online portals for customers and prospective customers. Access to and use of these portals is governed by these Terms of Use and any additional terms that may apply.

Customer Payment Portal
Existing ANA customers may access the payment platform at https://ana.ipaymentsecure.com/portal/login to view and pay outstanding balances, review invoices, and manage payment history.
Use of this portal is limited to authorized users associated with an active ANA customer account. Unauthorized access or use of this portal is strictly prohibited.

Credit Application Portal
Prospective customers may apply for a credit account with ANA through the secure online credit application form at https://eau2h.share-na2.hsforms.com/2SEADh8klRcy8pSf19OJfOA.
By submitting a credit application, you authorize ANA to review and verify the information provided, including conducting inquiries into your banking and trade references, as outlined in ANA’s Credit Application Agreement. Approval or denial of credit is at ANA’s sole discretion.

Account Suspension or Termination
ANA reserves the right to suspend or terminate access to either portal, without notice, if you violate these Terms of Use, provide false or incomplete information, or engage in any activity that may compromise the security, integrity, or operation of ANA’s systems.

Restrictions 

If you access, create an account, or otherwise use the Services, you represent you are at least the age of majority in your jurisdiction. If you are under the age of majority, you represent that if you access the Services, you will do so under the supervision of a legal guardian who agrees to be bound by these Terms on your behalf. The Services are not intended for children under the age of 18.

Purchases on the Services

Your purchase of any products on the Services is subject to our Sales Terms and Conditions. Any other purchases or transactions you conduct or initiate on the Services may be subject to Additional Terms.

Disclaimer of Warranties

ANA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES (COLLECTIVELY, THE “ANA PARTIES”) MAKE NO REPRESENTATIONS OR WARRANTIES ABOUT THE SUITABILITY OF THE SERVICES FOR ANY PARTICULAR PURPOSE. ANA ASSUMES NO RESPONSIBILITY FOR ANY LOSS OR HARM THAT OCCURS RESULTING FROM YOUR USE OF THE SERVICES. YOUR USE OF THE SERVICES IS SOLELY AT YOUR OWN RISK. IF APPLICABLE LAW DOES NOT ALLOW THE EXCLUSION OF SOME OR ALL OF THE IMPLIED WARRANTIES CONTAINED IN THIS SECTION, THE EXCLUSIONS IN THIS SECTION WILL APPLY TO YOU TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

THE SERVICES ARE PROVIDED BY ANA ON AN “AS IS” AND “AS AVAILABLE” BASIS, AND WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, SATISFACTORY QUALITY, RELIABILITY, ACCURACY, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE. THIS ALSO INCLUDES ANY WARRANTIES THAT MAY ARISE FROM ANY COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

ANA DOES NOT WARRANT OR GUARANTEE THE ACCURACY, COMPLETENESS, CORRECTNESS, TIMELINESS, OR USEFULNESS OF THE SERVICES. ANA DOES NOT WARRANT THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES, THE SERVER(S) ON WHICH THE SERVICES ARE HOSTED OR INFORMATION ARE SECURE OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES SHALL ANA AND/OR THE ANA PARTIES BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, EXEMPLARY, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, FEES, FINES, PENALTIES, LOSS OF REVENUE OR BUSINESS, OR LIABILITIES THAT RESULT FROM THE USE OF, OR INABILITY TO USE THE SERVICES OR INFORMATION PROVIDED ON OR THROUGH THE SERVICES.

BY USING OR ACCESSING THE SERVICES, YOU ACKNOWLEDGE AND AGREE THAT YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SERVICES ARE TO STOP USING THE SERVICES.

IF THE FOREGOING LIMITATIONS ARE DISALLOWED, IN ANY EVENT, THE TOTAL LIABILITY FOR ANA SHALL BE $100.00 USD.

Indemnity

As permitted by applicable law, you agree to, and you hereby, defend (if requested by ANA), indemnify, and hold ANA and/or the ANA Parties harmless from and against any and all claims, damages, losses, costs, investigations, liabilities, judgments, fines, penalties, settlements, interest, and expenses (including attorneys’ fees) that directly or indirectly arise from or are related to any claim, suit, action, demand, or proceeding made or brought against ANA and/or the ANA Parties, or on account of the investigation, defense, or settlement thereof, arising out of or in connection with: (i) your use of the Services; (ii) your breach or alleged breach of these Terms; (iii) your violation or alleged violation of any laws, rules, regulations, codes, statutes, ordinances, or orders of any governmental or regulatory authorities in connection with your use of the Services; (iv) any misrepresentation made by you; and (v) ANA use of the information that you submit to us. We reserve, and you grant us, the right to assume the exclusive defense and control of any matter subject to indemnification by you.

Dispute Resolution; Waiver of Right to Class Actions

Important: This section impacts certain legal rights and includes a waiver of the right to participate in any form of class, mass, collective, or representative action, and limits your ability to obtain certain remedies and forms of relief. Please review carefully.

Good Faith Informal Resolution

In the unlikely event that a disagreement arises between you and ANA regarding any claim or controversy at law or equity arising out of, relating to, or connected in any way with the Services (a “Dispute”), prior to initiating any legal action, you must first contact us directly by email at legal@anacorp.com. You must describe the nature of the Dispute, the basis for your claims and the resolution you are seeking.

You agree that the term “Dispute” in these Terms will have the broadest meaning possible. These Terms also cover any Dispute between you and any ANA Party or third-party if ANA could be liable, directly or indirectly, for such Dispute.

During the 60 business days from the date, you first contacted us with your Dispute, you and we agree to engage in good faith efforts to resolve the Dispute. During this 60-business-day time period, you and we agree to toll any statutes of limitations that may apply, along with any filing deadlines.

Agreement to Arbitrate

Except as otherwise provided below, any Dispute that cannot be resolved through good faith informal efforts shall be resolved exclusively through binding arbitration.

This arbitration agreement is governed by the Federal Arbitration Act (FAA) and administered by JAMS under its Comprehensive Arbitration Rules and Procedures then in effect. The arbitration will be conducted by a single, neutral arbitrator in Clark County, Nevada, unless otherwise required by law or mutually agreed by the parties.

The arbitrator’s decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party will bear its own attorneys’ fees and costs, except as otherwise required by applicable law or JAMS rules.

Exceptions: You or ANA may still bring an individual action in small claims court, or seek injunctive or equitable relief in court for matters involving intellectual property or unauthorized access or use of the Services.

Class Action and Collective Arbitration Waiver

To the fullest extent permitted by law, you and ANA agree that all Disputes will be resolved on an individual basis only and not as part of any class, collective, or representative action.

You agree that you will not sue ANA or ANA Parties as a class plaintiff or class representative, join as a class member, or participate as an adverse party in any class, mass, collective, or representative in action against ANA or its affiliates. The arbitrator has no authority to consolidate or join the claims of multiple parties or preside over any form of a class or representative proceeding.

If a court or arbitrator determines that the class action waiver in this section is unenforceable as to a particular claim, that claim shall proceed in court rather than arbitration, while all remaining claims shall remain subject to arbitration under this Agreement.

Opt-Out Right

You may opt out of this arbitration agreement by sending written notice to legal@anacorp.com within 30 days of first accepting these Terms. Your opt-out notice must include your name, contact information, and a clear statement that you wish to opt out of arbitration with ANA, Inc. Opting out will not affect the remainder of these Terms.

Time Bar

ANY CLAIM OR ACTION AGAINST ANA OR ANA PARTIES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE FIRST OCCURRENCE OF THE KIND OF ACT, EVENT, CONDITION OR OMISSION UPON WHICH SUCH CLAIM OR ACTION IS BASED – OR WITHIN THE STATUTE OF LIMITATIONS FOR SUCH CLAIM – WHICHEVER IS SHORTER. ANY CLAIM THAT IS NOT FILED WITHIN THAT TIME WILL BE FOREVER BARRED.

Access Restriction

The Services may be unavailable from time to time for any reason including, for example, routine maintenance. You understand and acknowledge that, due to circumstances both within and outside of the control of ANA, access to the Services may be interrupted or suspended from time to time. ANA shall have the right at any time to change or discontinue any aspect or feature of the Services, including, but not limited to, Content, availability, and equipment needed for access or use.

ANA reserves the right, in its sole discretion, to terminate your access to the Services or any portion thereof at any time, without notice. Upon termination of your access to the Services, or upon notice from ANA, all rights granted to you under these Terms will cease immediately, and you agree that you will immediately discontinue use of the Services.

General Provisions

Governing Law

To the maximum extent permitted by law, this Terms is governed by the laws of the State of Nevada, and you hereby consent to the exclusive jurisdiction and venue of courts in Clark County, Nevada in all disputes arising out of or relating to the use of the ANA Services. Use of the ANA Services is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph.

You agree that no joint venture, partnership, employment, or agency relationship exists between you and ANA as a result of these Terms or use of the ANA Services. ANA’s performance of this agreement is subject to existing laws and legal process, and nothing contained in this Terms is in derogation of the ANA’s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the ANA Services or information provided to or gathered by ANA with respect to such use.

Severability

If any part of this Terms is determined to be invalid or unenforceable pursuant to applicable law, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of the Terms shall continue in effect.

Assignment

ANA may assign its rights and obligations under these Terms, in whole or in part, to any party at any time without any notice. These Terms may not be assigned by you, and you may not delegate your duties under them, without the prior written consent of an officer of ANA.

Entire Agreement

Unless otherwise specified herein, this Terms constitutes the entire agreement between the user and ANA with respect to the ANA Services and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and the ANA.
